Definitions

-        CUSTOMER: organization or person placing an order of an Inovev’s product (paying product or free of charge product). When placing an order, the RU becomes also a CUSTOMER


1. Application and Scope

1.1. These Terms and Conditions of Use (TCU) apply to users (RUs) who have registered to any I2P (Inovev’s Internet Platform).
Registration to an I2P (Inovev’s Internet Platform) implies the RU’s full acceptance of these TCU to the exclusion of any other document, without any reservation.
The acceptance of TCU is finalized by ticking the TCU agreement box on an I2P (Inovev’s Internet platform).

1.2. The version valid at the time of the conclusion of the registration (posted on an I2P), that the RU must accept when registering, is the one that counts.
      Inovev may modify its TCU. In this case, the new version will apply to RUs who register after the release of new TCU on Inovev site, as well as to RUs previously registered but who will have ticked afterwards the box relating to acceptance of the new TCU.

1.3. Any rival TCU of the RU are invalid unless these are acknowledged by Inovev entirely or in part.
Only Inovev’s TCS, and no special other terms may take precedence over these TCU unless they are stated in writing in its final and binding form.



2. Languages

2.1. Original version of TCU is written in English language.
They are then translated into other languages.

2.2. In case of discrepancies between the original English version and another language version of these TCU, the English original version has the priority.


3. Placing orders       

3.1. Placing order is possible on-line on the Inovev Internet site or by using an IOF (Inovev Order Form).

3.2. When placing an order, the RU becomes also a CUSTOMER for the TCS. It must check an agreement box specific to the shopping act, named TCS (Terms and Conditions of Sales):
“I agree to the Terms and Conditions of Sales and adhere to them unconditionally”.
The Terms and Conditions of Service for the shopping act (TCS) are different from the Terms and Conditions of Use (TCU) relating to the registration to the Inovev site.
In case of conflict between the TCU and the TCS, the TCS relating to the ordered product has the priority.

3.3. The data recorded by Inovev constitutes proof of all the transactions made with the CUSTOMER. 

3.4. The CUSTOMER must check the completeness and conformity of the information provided to Inovev when placing the order, notably the invoice address and the e-mail address. Inovev shall not be held responsible for any error and resulting consequences.

4. Use of information and data which are provided

By registering, the RU may get access to information and data which are accessible to registered users while non accessible to non-registered guests (Classic Level) or information acquired by upgrading to the Upper Levels (paying levels).
These information and data may be downloaded by the RU.
The RU has the right to use these information and data for its sole own purpose but has no right to transmit it to other people (even to colleagues within its company), neither free of charge nor against payment.
In all cases, these information and data remain the full property of Inovev.

5. Privacy

This article 5 concerns only RU at Classic Level (CL – registered but non-paying information)
Privacy relating to Upper Level (UL – paying information) is part of the TCS (Terms and Conditions of sales).
For Upper Level (UL – paying information), TCS prevail on TCU.

5.1. IDRU (Information and Data relating to the RU) will be required by Inovev upon registration, and kept by Inovev.

5.2. IDRU (Information and Data relating to the RU) will be used by Inovev in order to be able to understand RU’s needs and provide it with a better service.

5.3. IDRU (Information and Data relating to the RU) will be in particular used by Inovev and its partners in order to

° Improve their products and services
° send promotional emails to their networks of contacts in the automotive industry
° send complementary free information with the objective to make their products and services better known

° contact RU for market research purposes

5.4. IDRU (Information and Data relating to the RU) will be kept by Inovev until 3 years after the last RU’s connection to an Inovev Internet Platform

5.5. By virtue of the modified data protection and civil liberties law of 6th January 1978, the RU has a right to question, access, rectify and delete information relating to itself gathered by the Company as part of its activity.
This right can be exercised by e-mailing to the address 
remove-personaldata@inovev.com  or by writing to:
                    - Inovev – Personal Data Removal department
                    - 34 rue Camille Pelletan, F-92300 Levallois-Perret (France)

5.6. In case of non-acceptance of TCU by the RU or its demand of removal, the RU will not get the access to any I2P (Inovev Internet Paltform).


5.7. The Website uses an automatic process to install a cookie in the RU’s computer in order to be able to record information relating to the navigation of its computer on the Website. The RU can however block the recording of “cookies” by configuring its internet navigator accordingly.

5.8. Finally, the RU acknowledges that the Company may be required, in accordance with its legal obligations, to reveal personal data relating to the RU in the framework of legal procedures (court orders, etc…).

6. Applicable law, place of fulfillment and jurisdiction

6.1. In the event that individual terms of the TCU are void or invalid or are declared to be invalid, this does not affect the other terms. The void or invalid term shall be replaced by a legally valid term that comes as close as possible to the intended purpose of the contract in accordance with good faith and the justified interests of both parties to the contract.

6.2. In the event of differences of opinion in connection with their contract, the parties undertake to seek mediation before commencing legal proceedings. The parties shall jointly specify the mediator.

6.3. The place of fulfillment and of exclusive jurisdiction is agreed as Paris, France.
However, Inovev has the right to sue the RU or his/her legal successor in the court with jurisdiction over his/her place of business or in any other court with jurisdiction.

6.4. The provisions of French law apply with the exclusion of the UN Convention on Contracts for the International Sale of Goods, even where the order is made from abroad or the goods delivered abroad.

6.5. Inovev reserves the right to amend the present terms and conditions at any time. The relevant binding version of the TCU may be inspected on and printed out from www.inovev.com.

7. Guarantees/Liability

7.1. Inovev does not claim any responsibility for loss or theft of the user password, ID, or account information through the Site. Inovev also does not claim responsibility for loss of content or data, or damages related to the use of a user ID by a third party.

      7.2. Inovev is not responsible for any damage or harm which might be caused by the use of its products or services.

7.3. Inovev’s liability where it or its employees, legal representatives or agents is/are to blame is limited to deliberate act. This does not apply to major breach of contractual duties and the lack of promised.

8. Cases of force majeure

Inovev undertakes, in view of current technology, to maintain in the best possible conditions the services offered on the Website. However, it will not be held responsible in the event of disruption to the Website attributable to a case of force majeure or which is caused by a third party or a RU, as well as technical incidents.
Inovev therefore cannot be held liable in the event of failure in its contractual obligations due to circumstances which are unforeseeable, irresistible, and outside the parties’ control.
The Parties acknowledge and agree between them, without this list being exhaustive, that notably force majeure, or exceptional circumstances or the fault of a third party refer to damages originating in or caused by: natural catastrophes, fires, floods, lightning, electrical surcharges, strikes, electricity power cuts, failure of the telecommunications network, civil or foreign wars, riots or civil unrest, terrorist attacks, regulatory restrictions relating to the supply of telecommunications services, loss of connectivity and connection due to public and private operators on whom Inovev depends,       hacking of Inovev’s site (such as Denial Of Services, but not only).
These cases of force majeure suspend the obligations of Inovev cited in the TCU, for their whole duration. However, if a case of force majeure lasts for more than three (3) months, one or other of the Parties would be entitled to terminate their relationship, after sending a letter by registered mail with acknowledgement of receipt, informing the other Party of this decision.

1.1. These Terms and Conditions of Sales (TCS) apply to all transactions between Inovev and its CUSTOMERS.
All orders placed (including the order of free products) imply the CUSTOMER’s full acceptance of these TCS to the exclusion of any other document, without any reservation.
  The acceptance of TCS is finalized by ticking the TCS agreement box on an I2P (Inovev Internet Platform)   or an IOF (Inovev’s order form).

1.2. The version valid at the time of the
conclusion of the transaction (  posted on an I2P, or included in an IOF), that the CUSTOMER must accept when ordering products, is the one that counts.

1.3. Any rival TCS of the CUSTOMER are invalid unless these are acknowledged by Inovev entirely or in part.
No special terms may take precedence over these TCS unless they are stated in writing on the purchase order in its final and binding form.

Inovev shall not be bound by any terms or conditions set out in any order form, documents or correspondence of the CUSTOMER. The Inovev’s TCS shall supersede and prevail over any other terms and conditions stipulated or referred to by the CUSTOMER, and no addition, alteration or substitution of these Inovev’s TCS will bind Inovev or form part of any Contract, unless expressly accepted in writing by Inovev.

 

 


2. Languages

4. Delivery of products

Most products supplied by Inovev are on line accesses and electronic data files.
However in some cases Inovev may provide physical goods.

4.1. On line accesses to I2P and downloads of electronic data files.
On line accesses to I2P (Inovev Internet Platform) and downloads of electronic data files are possible when payment has been effective.

4.2. Physical goods
Concerning physical goods, clearance of the payment and thereby acceptance of the contract occurs subject to the legality and availability of the goods ordered. If the contract is not accepted, the CUSTOMER will not be charged and the CUSTOMER will be informed immediately by email. Benefit and risk are transferred to the CUSTOMER upon handover of the goods to the post office or to another commonly-used dispatch service.

4.3. Use of information and data which are provided by Inovev
After payment, the CUSTOMER may get access to information and data it has paid for.
These information and data may be downloaded by the CUSTOMER.
A perimeter of people - named AE (Agreed Entity) - getting access to ordered information is agreed by Inovev and the CUSTOMER. This perimeter relates to
a fair number of users: number deemed sufficient by the CUSTOMER relating to the price it pays, and preserving the business model of Inovev. This perimeter may relate for instance to registered companies or departments. This AE (Agreed Entity) will be part of the order.
The CUSTOMER has the right to use information and data provided by Inovev for the sole own purpose of the AE (Agreed Entity) and transmit it only to people included in the AE (Agreed Entity).
In all cases these information and data remain the full property of Inovev.

 

5. Payment

5.1. Payment is possible, by traditional ways or on-line, by card, bank transfer, cheque or any other means offered by Inovev.
Transfers must be made to the bank account whose details are displayed when the purchase is finalized.
Inovev’s bank account is located in France and all costs arising from the transfer are to be paid by the CUSTOMER.

5.2. Inovev reserves the right to block a transaction for the time required to carry out anti-fraud checks.

5.3. Products and/or services will be provided only after the service is paid for by the CUSTOMER.

5.4. Additional taxes 

Prices displayed on all Inovev’s  supports (documents or on-line) are net prices. They do not include any tax and, in particular, do not include Value Added Tax neither bank taxes.
For orders placed by a company located in France,
the applicable statutory Value Added Tax must be added. This option is presented when paying on line.
  For orders placed  by a company located in European Union, the CUSTOMER must provide its European VAT number. A box is displayed for this purpose in the on-line order and on the IOF (Inovev Order Form).

For orders placed  by a company located outside European Union, prices to pay are net prices plus applicable taxes.

6. Privacy

6.1. IDC (Information and Data relating to the CUSTOMER) are required by Inovev for the management of orders and the business relationship. They may be passed on to companies which are involved in processing the order, notably with regard to online payment. 

 

6.2. IDC will be kept by Inovev during the time of the business relationship (for instance the time of the subscription).

 

6.3. By default, IDC (Information and Data relating to the CUSTOMER) will be used by Inovev only for the benefit of the relationship between Inovev and the CUSTOMER:

               - sending e-mails to the persons included in the AE (Agreed Entity)

               - organizing meetings with persons included in the AE (Agreed Entity)

               -…

6.4. A CORRESPONDENT of the CUSTOMER for relationship with Inovev will be designated by the CUSTOMER.
This correspondent will interact with Inovev, for any matter relating to the business relationship.

8.1. When clicking on the checkbox “agreement of TCS”, the CUSTOMER acknowledges that he has sufficient information concerning the product to purchase it.
No refund of the product will be possible for the reason of a discrepancy between the reality of the product and the expectation of the CUSTOMER.

8.2. Inovev does not claim any responsibility for loss or theft of the user password, ID, or account information through the Site. Inovev also does not claim responsibility for loss of content or data, or damages related to the use of a user ID by a third party.

8.3 Inovev is not responsible for any damage or harm which might be caused by the use of its products or services.

Registration to the Inovev site implies the RU’s full acceptance of these TCU to the exclusion of any other document, without any reservation.

1.2. The version valid at the time of the conclusion of the registration, that the RU must accept when registering, is the one that counts.
1.3. Any rival TCU of the RU are invalid unless these are acknowledged by Inovev entirely or in part. Any suspension of these TCU or parts of them or any acknowledgement of the RU’s terms must be expressly confirmed in writing by Inovev.
No special terms may take precedence over these TCU unless they are stated in writing in its final and binding form.

4. Privacy

4.1. Information and data relating to the RU are required by Inovev for the business relationship.
These information and data are kept:
- for security reasons
- and in order to be able to understand RU’s needs and provide him with a better service, and in particular for the following reasons:
o Internal record keeping.
o Inovev may use the information to improve its products and services.
o Inovev may send promotional emails about new products, special offers or other information which Inovev thinks that RU may find interesting using the email address which RU has provided.
o From time to time, Inovev may also use RU’s information to contact him for market research purposes.

INOVEV : Conditions Générales d’Utilisation

1. Préambule


1.1. Ces Conditions Générales d’Utilisation (CGU) s'appliquent à tous les utilisateurs enregistrés sur le site (UE).
L’enregistrement sur le site Inovev implique l'acceptation intégrale par l’UE de ces CGU à l'exclusion de tout autre document, sans aucune réserve.
L'acceptation de ces CGU est finalisée en cliquant sur la case accord CGU ("accepter").
1.2. La version en vigueur au moment de la conclusion de la transaction, que l’UE doit accepter lors de la commande des produits, est celle qui fait foi.
1.3. Les CGA (Conditions Générales d’Achat) ne sont valides que si elles sont reconnues par Inovev entièrement ou en partie. Toute suspension de ces CGU ou des parties d'entre elles ou de toute reconnaissance des termes des CGA doivent être expressément confirmées par écrit par Inovev.
Aucune condition particulière ne peut prévaloir sur ces CGU sauf si elle est consignée par écrit dans sa forme définitive et exécutoire.


2. Langues


2.1 La version originale des CGU est écrite en langue anglaise.
Elles sont ensuite converties dans d'autres langues.
2.2. En cas de divergences entre la version originale anglaise et une autre version linguistique de ces CGU, la version originale anglaise a la priorité.


3. Passation des commandes


3.1 Il est possible de passer une commande de produits à travers le menu « Boutique ».
3.2 Lors du passage d’une commande, l’UE se doit de cocher la case d’acceptation spécifique à l’acte d’achat :
"Je suis d'accord avec les termes et conditions de service et j'y adhère sans condition".
Les Conditions Générales de Vente (CGV) spécifiques à l’acte d’achat sont différentes des Conditions Générales d’Utilisation (CGU) relatives à l’enregistrement sur le site Inovev.


4. Confidentialité


4.1. Les informations et données relatives à l’UE sont demandées par Inovev pour la relation d'affaires.
Ces informations et données sont également conservées:
- pour des raisons de sécurité,
- et afin d'être en mesure de comprendre les besoins de l’UE et de lui fournir un meilleur service, et en particulier pour les raisons suivantes :
· tenue de dossiers internes.
· Inovev peut utiliser ces informations pour améliorer ses produits et services.
· Inovev pourra envoyer des courriels promotionnels sur les nouveaux produits, offres spéciales ou d'autres informations qui peuvent intéresser l’UE en utilisant l'adresse e-mail fournie par l’UE.
· De temps à autre, Inovev peut également utiliser les informations fournies par l’UE pour le contacter à des fins d’étude de marché.

L’UE a le droit d’utiliser cette information à ses propres fins mais ne dispose pas du droit de les transmettre à autrui (même au sein de sa propre société), que cela soit de manière gratuite ou payante.

6. Droit applicable, lieu d'exécution et la juridiction


6.1. Au cas où certains termes des CGU seraient nuls ou invalides ou seraient déclarés invalides, ceci n'affectera pas les autres termes. Le terme nul ou vide sera remplacé par un terme juridiquement valable qui sera aussi proche que possible de l’objet du contrat conformément à la bonne foi et les intérêts légitimes des deux parties au contrat.
6.2. Dans le cas de divergences d'opinion dans le cadre de leur contrat, les parties s'engageront à recourir à la médiation avant de commencer une procédure judiciaire. Les parties devront préciser conjointement le médiateur.
6.3. Le lieu d'exécution et de compétence de la juridiction est convenu être à Paris, France.
Toutefois, Inovev a le droit de poursuivre l'UE ou son successeur légal auprès de la cour ayant juridiction sur son lieu d'affaires ou dans tout autre tribunal compétent.
6.4. Les dispositions de la loi française s’appliquent à l'exclusion de la Convention des Nations Unies sur les contrats de vente internationale de marchandises, même si l'ordonnance est rendue à l'étranger ou les marchandises livrées à l'étranger.
6.5. Inovev se réserve le droit de modifier les présentes conditions générales à tout moment. La version pertinente des CGU peut être consultée sur le site et imprimée à partir de www.inovev.com.


7. Garanties / Responsabilité


7.1. Inovev ne pourra pas être tenu responsable pour la perte ou le vol du mot de passe de l’utilisateur, de son identifiant, ou des informations de son compte sur le site. De même INOVEV ne pourra pas être tenu responsable de la perte de contenu ou de données, ou de dommages liés à l'utilisation de son mot de passe ou de son identifiant par un tiers.
7.2. La responsabilité d’Inovev, pour laquelle elle ou ses employés, représentants légaux ou agents seraient à blâmer, est limitée à un acte délibéré. Ceci ne s'applique pas à une violation majeure des droits contractuels et un manquement à une promesse.


8. Cas de force majeure


Inovev s'engage dans le cadre de la technologie actuelle à maintenir dans les meilleures conditions possibles les services proposés sur le Site. Cependant, il ne sera pas tenu responsable en cas de perturbation du site Web imputable à un cas de force majeure ou causée par un tiers ou un UE, ainsi que par des incidents techniques.
Inovev ne peut donc pas être tenu pour responsable de défaillance dans ses obligations contractuelles en raison de circonstances imprévisibles, irrésistibles et indépendantes de la volonté des parties.
Les parties reconnaissent et conviennent entre elles, sans que cette liste soit exhaustive, que la force majeure, notamment, ou des circonstances exceptionnelles ou la faute d'un tiers se référant à des dommages en provenance de ou causés par : les catastrophes naturelles, les incendies, les inondations, la foudre, les surcharges électriques, les grèves, les coupures d'électricité, la défaillance du réseau de télécommunications, les guerres civiles ou étrangères, les émeutes ou les troubles civils, les attentats terroristes, les restrictions réglementaires relatives à la fourniture de services de télécommunications, la perte de connectivité et de connexion due à des opérateurs publics et privés dont INOVEV dépend.
Ces cas de force majeure suspendent les obligations d’INOVEV cités dans les CGU, pour toute leur durée. Toutefois, si un cas de force majeure dure plus de trois (3) mois, l'une ou l'autre des parties serait en droit de mettre fin à leur relation, après l'envoi d'une lettre par courrier recommandé avec accusé de réception, informant l'autre partie de cette décision.

1. Application and Scope

1.1. These Terms and Conditions of Service (TCS) apply to all transactions between the Users and/or Customers of the Site (UCS).
All orders placed (including the order of free products) imply the UCS’s full acceptance of these TCS to the exclusion of any other document, without any reservation.
The acceptance of TCS is finalized by clicking on the TCS agreement box (“I agree to the terms and conditions of service and adhere to them unconditionally”).

1.2. The version valid at the time of the conclusion of the transaction, that the UCS must accept when ordering products, is the one that counts.

1.3. Any rival TCS of the UCS are invalid unless these are acknowledged by Inovev entirely or in part. Any suspension of these TCS or parts of them or any acknowledgement of the UCS’s terms must be expressly confirmed in writing by Inovev.
No special terms may take precedence over these TCS unless they are stated in writing on the purchase order in its final and binding form

 

2. Languages

2.1. Original version of TCS is written in English language.
They are then translated into other languages.

2.2. In case of discrepancies between the original English version and another language version of these TCS, the English original version has the priority.

 

3. Placing orders

3.1. Placing an order (of paid products or free products) implies the full acceptance of these TCS.

3.2. The data recorded by Inovev constitutes proof of all the transactions made with the UCS. 
The UCS must check the completeness and conformity of the information provided to Inovev when placing the order, notably the invoice address and the e-mail address. Inovev shall not be held responsible for any errors and resulting consequences.

 

4. Delivery of products

Most products supplied by Inovev are electronic data files.
However in some cases Inovev may provide physical goods.

4.1. Electronic data file
The following applies to electronic data files deliveries: 
A download of the product is possible when payment has been effective.
When clicking on the checkbox “agreement of TCS” (“I agree to the terms and conditions of service and adhere to them unconditionally”), the UCS acknowledges that he has sufficient information concerning the product to purchase it.
No refund of the product will be possible for the reason of a discrepancy between the reality of the product and the expectation of the UCS.

4.2. Physical goods
The following applies to electronic physical goods deliveries:

Clearance of the payment and thereby acceptance of the contract occurs subject to the legality and availability of the goods ordered. If the contract is not accepted, the UCS will not be charged and the UCS will be informed immediately by email. Benefit and risk are transferred to the UCS upon handover of the goods to the post office or to another commonly-used dispatch service.

4.3. Use of information and data which are provided

After payment, the UCS may get access to information and data they have paid for.
These information and data may be downloaded by the UCS.
The UCS has the right to use these information and data for its sole own purpose but has no right to transmit it to other people (even to colleagues within its company), neither free of charge nor against payment. 
In all cases these information and data remain the full property of Inovev.

 

 

5. Payment

5.1. Payment is possible on-line by card, bank transfer, cheque or any other means offered by Inovev.
Transfers must be made to the bank account whose details are displayed when the purchase is finalized. Inovev’s bank account is located in France and all costs arising from the transfer are to be paid by the UCS.
If after ten (10) working days after the order is placed, a transfer of a sum equal to the total amount of the order has not been received, Inovev may cancel the whole transaction.

5.2. Inovev reserves the right to block a transaction for the time required to carry out anti-fraud checks.

5.3. Products and/or services will be provided only after the service is paid for by the UCS.

5.4. Value Added Tax (VAT) 
 For deliveries within France the price shown before payment includes the applicable statutory Value Added Tax.
 For exports to other countries, the price shown is the net price excluding Value Added Tax. 
For deliveries within European Union, UCS must provide its European VAT number (a box is displayed for this purpose in the on-line order).

 

6. Privacy

6.1. Information and data relating to the UCS are required by Inovev for the management of orders and the business relationship. They may be passed on to companies which are involved in processing the order, notably with regard to online payment. 
This information is also kept:

    - for security reasons

    - and in order to be able to understand UCS’ needs and provide him with a better service, and 
      in particular for the following reasons:

    - Internal record keeping.

Inovev may use the information to improve its products and services.

Inovev may send promotional emails about new products, special offers or other information which Inovev thinks that UCS may find interesting using the email address which UCS has provided.

From time to time, Inovev may also use UCS’ information to contact him for market research purposes.

- By virtue of the modified data protection and civil liberties law of 6th January 1978, the UCS has a right to access, rectify and delete information relating to it gathered by the Company as part of its activity.

6.2. The Website uses an automatic process to install a cookie in the UCS’s computer in order to be able to record information relating to the navigation of its computer on the Website. The UCS can however block the recording of “cookies” by configuring its internet navigator accordingly.

6.3. Finally, the UCS acknowledges that the Company may be required, in accordance with its legal obligations, to reveal personal data relating to the UCS in the framework of legal procedures (court orders, etc.).

 

7. Applicable law, place of fulfillment and jurisdiction

7.1. In the event that individual terms of the TCS are void or invalid or are declared to be invalid, this does not affect the other terms. The void or invalid term shall be replaced by a legally valid term that comes as close as possible to the intended purpose of the contract in accordance with good faith and the justified interests of both parties to the contract.

7.2. In the event of differences of opinion in connection with their contract, the parties undertake to seek mediation before commencing legal proceedings. The parties shall jointly specify the mediator.

7.3. The place of fulfillment and of exclusive jurisdiction is agreed as Paris, France. 
However, Inovev has the right to sue the UCS or his/her legal successor in the court with jurisdiction over his/her place of business or in any other court with jurisdiction.

7.4. The provisions of French law apply with the exclusion of the UN Convention on Contracts for the Inter-national Sale of Goods, even where the order is made from abroad or the goods delivered abroad.

7.5. Inovev reserves the right to amend the present terms and conditions at any time. The relevant binding version of the TCS may be inspected on and printed out from www.inovev.com.

 

8. Guarantees/Liability

8.1. When clicking on the checkbox “agreement of TCS”, the UCS acknowledges that he has sufficient information concerning the product to purchase it.
No refund of the product will be possible for the reason of a discrepancy between the reality of the product and the expectation of the UCS.

8.2. Inovev does not claim any responsibility for loss or theft of the user password, ID, or account information through the Site. Inovev also does not claim responsibility for loss of content or data, or damages related to the use of a user ID by a third party.

8.3. Inovev’ liability where it or its employees, legal representatives or agents is/are to blame is limited to deliberate act. This does not apply to major breach of contractual duties and the lack of promised.

 

 

 

 9. Cases of force majeure

Inovev undertakes in view of current technology to maintain in the best possible conditions the services offered on the Website. However, it will not be held responsible in the event of disruption to the Website attributable to a case of force majeure or which is caused by a third party or a UCS, as well as technical incidents.
Inovev therefore cannot be held liable in the event of failure in its contractual obligations due to circumstances which are unforeseeable, irresistible, and outside the parties’ control.
The Parties acknowledge and agree between them, without this list being exhaustive, that notably force majeure, or exceptional circumstances or the fault of a third party refer to damages originating in or caused by: natural catastrophes, fires, floods, lightning, electrical surcharges, strikes, electricity power cuts, failure of the telecommunications network, civil or foreign wars, riots or civil unrest, terrorist attacks, regulatory restrictions relating to the supply of telecommunications services, loss of connectivity and connection due to public and private operators on whom Inovev depends.
These cases of force majeure suspend the obligations of Inovev cited in the TCS, for their whole duration. However, if a case of force majeure lasts for more than three (3) months, one or other of the Parties would be entitled to terminate their relationship, after sending a letter by registered mail with acknowledgement of receipt, informing the other Party of this decision.

1. Préambule


1.1. Ces Conditions Générales d’Utilisation (CGU) s'appliquent à tous les utilisateurs enregistrés sur le site (UE).
L’enregistrement sur le site Inovev implique l'acceptation intégrale par l’UE de ces CGU à l'exclusion de tout autre document, sans aucune réserve.
L'acceptation de ces CGU est finalisée en cliquant sur la case accord CGU ("accepter").
1.2. La version en vigueur au moment de la conclusion de la transaction, que l’UE doit accepter lors de la commande des produits, est celle qui fait foi.
1.3. Les CGA (Conditions Générales d’Achat) ne sont valides que si elles sont reconnues par Inovev entièrement ou en partie. Toute suspension de ces CGU ou des parties d'entre elles ou de toute reconnaissance des termes des CGA doivent être expressément confirmées par écrit par Inovev.
Aucune condition particulière ne peut prévaloir sur ces CGU sauf si elle est consignée par écrit dans sa forme définitive et exécutoire.


2. Langues


2.1 La version originale des CGU est écrite en langue anglaise.
Elles sont ensuite converties dans d'autres langues.
2.2. En cas de divergences entre la version originale anglaise et une autre version linguistique de ces CGU, la version originale anglaise a la priorité.


3. Passation des commandes


3.1 Il est possible de passer une commande de produits à travers le menu « Boutique ».
3.2 Lors du passage d’une commande, l’UE se doit de cocher la case d’acceptation spécifique à l’acte d’achat :
"Je suis d'accord avec les termes et conditions de service et j'y adhère sans condition".
Les Conditions Générales de Vente (CGV) spécifiques à l’acte d’achat sont différentes des Conditions Générales d’Utilisation (CGU) relatives à l’enregistrement sur le site Inovev.


4. Confidentialité


4.1. Les informations et données relatives à l’UE sont demandées par Inovev pour la relation d'affaires.
Ces informations et données sont également conservées:
- pour des raisons de sécurité,
- et afin d'être en mesure de comprendre les besoins de l’UE et de lui fournir un meilleur service, et en particulier pour les raisons suivantes :
· tenue de dossiers internes.
· Inovev peut utiliser ces informations pour améliorer ses produits et services.
· Inovev peut partager les informations de l'UE avec ses partenaires commerciaux
· Inovev ou ses partenaires commerciaux pourront envoyer des courriels promotionnels sur les nouveaux produits, offres spéciales ou d'autres informations qui peuvent intéresser l’UE en utilisant l'adresse e-mail fournie par l’UE.
· De temps à autre, Inovev peut également utiliser les informations fournies par l’UE pour le contacter à des fins d’étude de marché.

Les parties reconnaissent et conviennent entre elles, sans que cette liste soit exhaustive, que la force majeure, notamment, ou des circonstances exceptionnelles ou la faute d'un tiers se référant à des dommages en provenance de ou causés par : les catastrophes naturelles, les incendies, les inondations, la foudre, les surcharges électriques, les grèves, les coupures d'électricité, la défaillance du réseau de télécommunications, les guerres civiles ou étrangères, les émeutes ou les troubles civils, les attentats terroristes, les restrictions réglementaires relatives à la fourniture de services de télécommunications, la perte de connectivité et de connexion due à des opérateurs publics et privés dont INOVEV dépend.
Ces cas de force majeure suspendent les obligations d’INOVEV cités dans les CGU, pour toute leur durée. Toutefois, si un cas de force majeure dure plus de trois (3) mois, l'une ou l'autre des parties serait en droit de mettre fin à leur relation, après l'envoi d'une lettre par courrier recommandé avec accusé de réception, informant l'autre partie de cette décision.
